1. Acceptance of Terms

By accessing or using the HVAC Surplus website located at hvacsurplus.com (the "Site") or placing an order with us, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, users, and customers of the Site. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

 

2. About HVAC Surplus

HVAC Surplus is an online retail store based in Indiana, United States, specializing in HVAC parts, controls, tools, and supplies including overstock, surplus, and popular in-demand items. We sell to both contractors and homeowners.

 

3. Eligibility

By using the Site, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are not prohibited from purchasing our products under any applicable law.

 

4. Products and Pricing

We reserve the right to modify or discontinue any product at any time without notice. All product descriptions, images, and specifications are provided for informational purposes and may contain errors or inaccuracies.

Prices are subject to change without notice. We reserve the right to refuse or cancel any order placed for a product listed at an incorrect price. In the event of a pricing error, we will notify you and give you the option to proceed at the correct price or cancel your order.

All prices are listed in U.S. dollars. Sales tax will be applied where required by law.

 

5. Orders and Payment

By placing an order, you represent that the information you provide is accurate and complete. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed for resale purposes in violation of our policies, orders with suspected fraudulent activity, or orders that cannot be fulfilled due to inventory limitations.

Payment must be received in full before an order is processed and shipped. We accept major credit cards, PayPal, and Shop Pay. All payment information is processed securely through our payment processor.

 

6. Shipping and Delivery

We offer free shipping on all orders with no minimum purchase requirement. Orders are fulfilled same-day or next business day for in-stock items. Estimated delivery times are provided at checkout and are not guaranteed.

We are not responsible for delays caused by carriers, weather events, or other circumstances outside our control. Risk of loss and title for items purchased pass to you upon delivery to the carrier.

We currently ship within the United States only. We are not responsible for any customs, duties, or taxes associated with international orders if applicable.

 

7. Returns and Refunds

We want you to be satisfied with your purchase. Our return policy is as follows:

•       Items may be returned within 30 days of delivery for a refund or exchange

•       Items must be in original, unused condition and in original packaging

•       Electrical components, special-order items, and items marked as final sale are non-returnable

•       Return shipping costs are the responsibility of the customer unless the return is due to our error or a defective product

•       Refunds will be issued to the original payment method within 5–10 business days of receiving the returned item

8. Product Warranties

Products sold on the Site are sold "as-is" unless otherwise stated. Some products may carry manufacturer warranties. HVAC Surplus does not provide any additional warranty beyond what is offered by the original manufacturer.

For warranty claims on manufacturer-warranted products, please contact the manufacturer directly. We are happy to assist in providing manufacturer contact information upon request.

 

9. Intellectual Property

All content on the Site — including but not limited to text, images, logos, product descriptions, and graphics — is the property of HVAC Surplus or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our express written permission.

 

10. Prohibited Use

You agree not to use the Site to:

•       Violate any applicable local, state, federal, or international law or regulation

•       Transmit any unsolicited or unauthorized advertising or promotional material

•       Attempt to gain unauthorized access to any portion of the Site or its related systems

•       Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

•       Use any automated means to scrape, crawl, or harvest data from the Site

•       Impersonate any person or entity or misrepresent your affiliation with any person or entity

 

11. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HVAC SURPLUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

 

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HVAC SURPLUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid for the product(s) giving rise to the claim.

 

13. Indemnification

You agree to indemnify, defend, and hold harmless HVAC Surplus and its officers, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any rights of another party.

 

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Indiana under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

 

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

 

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HVAC Surplus regarding your use of the Site and supersede all prior agreements, representations, and understandings.
